Terms of Service

These Terms of Service ("Terms") govern your access to and use of Daemon, a personal assistant operated by Friendly Labs, Inc. ("Friendly Labs," "we," "us," or "our"), including the Daemon mobile application and any associated services available at https://daemon.is (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years of age to use the Service. If you are under 18, you represent that you have your parent's or legal guardian's permission to use the Service. We reserve the right to request verification of age at any time and to terminate accounts that do not meet this requirement.

2. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Notifying us promptly at support@frens.lol if you suspect unauthorized access to your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

3. Description of the Service

Daemon is a conversational personal assistant. You interact with Daemon by sending messages through the app. Daemon uses a large language model to interpret your requests and, when appropriate, to take actions on your behalf against connected services, such as reading or modifying events in your Google Calendar.

Daemon currently supports:

  • Answering questions about your schedule using your connected Google Calendar
  • Creating, updating, and canceling calendar events at your request
  • Holding natural-language conversations about your day

Daemon's feature set may change over time as we add, modify, or remove capabilities.

4. Connected Services

By connecting your Google account to Daemon, you authorize us to access and interact with that account on your behalf, within the scope of the permissions you grant during the Google OAuth flow. You represent that:

  • You have the right and authority to connect the account you link to Daemon.
  • Your use of Google services through Daemon complies with Google's terms of service.
  • You understand that Daemon's functionality depends on the availability and proper operation of third-party services, which are outside our control.

We are not responsible for any changes, outages, or issues caused by third-party services.

5. The Assistant is Not Perfect

Daemon is powered by a large language model. You acknowledge that:

  • The assistant can make mistakes. It may misunderstand your request, retrieve incorrect information, or take an action you didn't intend.
  • You are responsible for actions taken on your behalf. When Daemon creates, updates, or cancels a calendar event at your request, those actions use your credentials and may be visible to others (such as meeting attendees) and may not be reversible. Review important actions before and after the assistant performs them.
  • Responses are not professional advice. Daemon is not a substitute for medical, legal, financial, or other professional advice.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party right.
  • Transmit harmful, fraudulent, or deceptive content through connected services.
  • Attempt to gain unauthorized access to Daemon's systems, other users' accounts, or connected services beyond your authorized scope.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use the Service to spam, harass, or abuse others through connected accounts.
  • Attempt to manipulate the assistant into producing content that violates our policies or applicable law.
  • Resell, sublicense, or commercially redistribute access to the Service without our written consent.

We reserve the right to suspend or terminate your access if we reasonably determine that you have violated these Terms.

7. Intellectual Property

The Service, including its design, code, features, and branding, is owned by Friendly Labs and is protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

You retain all rights to your own data, including the content of your conversations with Daemon. By using the Service, you grant us a limited license to access, process, and transmit your data solely as necessary to provide the Service.

8. Availability and Modifications

We strive to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. We may:

  • Modify, update, or discontinue features of the Service at any time.
  • Perform scheduled or unscheduled maintenance that may temporarily affect availability.
  • Impose usage limits as needed to maintain service quality.

We will make reasonable efforts to notify you of significant changes that affect your use of the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, FRIENDLY LABS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
  • ANY WARRANTY REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR SAFETY OF OUTPUTS PRODUCED BY THE ASSISTANT.

YOU ACKNOWLEDGE THAT OUTPUTS PRODUCED BY A LARGE LANGUAGE MODEL MAY BE INACCURATE OR UNSUITABLE FOR YOUR PURPOSES AND THAT YOU ARE RESPONSIBLE FOR REVIEWING THEM.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FRIENDLY LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF DATA, REVENUE, OR BUSINESS OPPORTUNITIES.
  • DAMAGES RESULTING FROM ACTIONS TAKEN BY THE ASSISTANT ON YOUR BEHALF, INCLUDING INCORRECT, MISTIMED, OR UNINTENDED CALENDAR EVENTS OR OTHER ACTIONS.
  • DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT.
  • DAMAGES ARISING FROM THE UNAVAILABILITY OR MALFUNCTION OF THIRD-PARTY SERVICES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, INCLUDING NEGLIGENCE, CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER BASIS.

11. Indemnification

You agree to indemnify, defend, and hold harmless Friendly Labs, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorney's fees) arising out of or related to:

  • Your use of the Service.
  • Your violation of these Terms.
  • Actions performed through your account.
  • Your violation of any third-party right or applicable law.

12. Termination

You may stop using the Service and request deletion of your account at any time by contacting us at support@frens.lol or from within the app.

We may suspend or terminate your account at any time if we reasonably believe that:

  • You have violated these Terms.
  • Your use of the Service poses a security risk.
  • Continued provision of the Service to you is no longer commercially viable.

Upon termination, we will delete your account data, stored credentials, and cached information in accordance with our Privacy Policy.

Sections 9, 10, 11, and 13 survive termination of these Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws provisions.

Any dispute arising from or related to these Terms or the Service shall first be attempted to be resolved through informal negotiation by contacting us at support@frens.lol. If a dispute cannot be resolved informally within thirty (30) days, either party may pursue resolution through binding arbitration administered under the rules of the American Arbitration Association, with the arbitration conducted in the State of Delaware. Each party shall bear its own costs, and the arbitrator's decision shall be final and binding.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by other reasonable means at least fourteen (14) days before the changes take effect. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.
